Terms of Service

Please read these Terms of Service (“Terms”) carefully before using Threadzip and its associated services operated by Recursivezero Private Limited (“Company”, “we”, “us”, or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Recursivezero Private Limited. By creating an account or using any part of the Services, you confirm that you are at least 18 years old, have the legal capacity to enter into this agreement, and accept these Terms in full.

2. Description of Services

Threadzip provides a fabric industry ecosystem comprising:

  • app.threadzip.com — a B2B marketplace for fabric listings, dead stock clearance, and direct vendor-buyer connections
  • pro.threadzip.com — an AI-powered creative suite for fabric generation and virtual sampling
  • lab.threadzip.com — a technical intelligence platform for fabric analysis and property-based search

The Services are intended for business use by fabric industry professionals including vendors, buyers, designers, and operators.

3. Account Registration

To access certain features, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password confidential and not share it with third parties
  • Notify us immediately of any unauthorised use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Conduct

You agree not to:

  • Post false, misleading, or fraudulent listings or content
  • Impersonate any person or entity or misrepresent your affiliation
  • Use the Services for any unlawful purpose or in violation of any applicable law
  • Scrape, crawl, or systematically extract data from the Services without written permission
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorised access to any part of the Services or related systems
  • Use the Services to transmit spam, malware, or other harmful content
  • Circumvent any access controls or security measures

5. Listings and Transactions

Threadzip is a platform that facilitates connections between buyers and sellers. We are not a party to any transaction between users.

  • Vendors are solely responsible for the accuracy of their listings, including fabric specifications, pricing, and availability.
  • Buyers are responsible for verifying listing details before entering into any transaction.
  • For Dead Stock listings, all transactions are conducted directly between buyers and sellers offline. Threadzip does not process payments or handle logistics for these transactions.
  • We reserve the right to remove any listing that violates these Terms or our content guidelines.

6. Intellectual Property

Our IP

The Services, including all software, design, text, graphics, and other content created by us, are owned by Recursivezero Private Limited and protected by applicable intellectual property laws.

Your Content

You retain ownership of content you submit to the Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, and display that content solely for the purpose of operating and improving the Services.

Restrictions

You may not copy, modify, distribute, sell, or lease any part of the Services or its underlying software without our prior written consent.

7. AI-Generated Content

Content generated using Threadzip Pro (fabric variations, design outputs) is provided for your use subject to these Terms. You are responsible for ensuring that your use of AI-generated content complies with applicable laws and does not infringe third-party rights.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RECURSIVEZERO PRIVATE LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Recursivezero Private Limited and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Services, your content, or your violation of these Terms.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will survive.

12. Governing Law

These Terms are governed by the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Surat, Gujarat, India.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the effective date and, where appropriate, notifying you by email. Your continued use of the Services after changes constitutes acceptance of the updated Terms.
